1 定義
1 definitions
在本合同中,下列詞語的含義如下:
the following terms shall have the following meanings in the contract:
· ciq：中國出入境檢驗檢疫機構。
ciq：china entry-exit inspection and quarantine

no spinning value cotton: mouldy cotton, water damaged cotton, oil stained cotton, burned cotton, cotton waste and linters, etc.

cotton waste: leftover and/or recycling waste left during the processing or use of the cotton.
· 欺詐棉包：單個棉包中：含有與棉花完全無關的非棉物質；里面含有污染棉花，但從棉包外部或可看出或看不出來；好棉花在外面，次棉花包在里面，以免在常規檢查中被發現；有一定數量的無紡用價值棉花。
false packed bale: cotton in a single bale: containing substances entirely foreign to cotton; containing damaged cotton in the interior with or without any indication of such damage upon the exterior; composed of good cotton upon the exterior and decidedly inferior cotton in the interior, in such a manner as not to be detected by customary examination; or containing a certain amount of no spinning value cotton.

mixed packed bale: a bale containing a certain amount of different grades, staples or colors of cotton.

· 棉包密度：采用通用棉包密度，是指根據國際標準化組織——iso第8115-1986（e）的規定，一個貨包長度在1060-1400毫米，寬度540毫米，高度700-950毫米。
bale density: universal bale density as determined by the international standards organization – iso reference no. 8115-1986 (e) is a bale with the nominal dimensions of 1060 to 1400 mm in length by 540 mm in width and 700-950 mm in height.

適合于海運的緊縮機出口包裝，外裹棉布或其他不能產生異性纖維的包裝，捆扎牢固，包裝完整。如果使用容易產生異性纖維的包裝材料包裝棉花，則賣方須承擔全部清理異性纖維的費用。棉花須以通用密度壓縮貨包的形式供貨。
compressed export packing suitable for voyage, outside wrapped by cotton cloth or other packing materials that do not contain foreign matters, tightly and completely packed. if any packing materials that may easily produce foreign matters are used to pack the cotton, the seller shall bear all the expenses for the cleaning of foreign matters. the cotton shall be supplied in forms of universal density compressed package.

如為fob成交:賣方應在收到船公司的裝運通知后48小時內，通知買方合同號、品級、長度級或小樣型號、包裝、凈重、金額；裝船日期、裝船口岸、目的港和預計到港日期，并航寄、傳真或電子郵件的形式將裝船單據副本一式三份給買方。
under fob terms: the seller shall notify the buyer by telegraph, fax or e-mail of the contract number, grade, staple or type, packing, net weight, and price; as well as shipment date, shipment port, destination port and estimated arrival date within 48 hours after notification from the shipping line and mail, fax or e-mail three copies of the duplications of the loading documents to the buyer.
如為cfr/cif成交:賣方應在收到船公司的裝運通知后48小時內，通知買方船名、船齡(老船賣方要付超齡加保費)、船旗、裝船日期、裝船口岸、目的港、合同號、提單號、總金額、毛重、凈重。
under cfr/cif terms: the seller shall notify the buyer of the ship name, ship age (for aged ship the seller shall pay the over-age extra premium), ship flag, shipment date, shipment port, destination port, contract number, number of the bill of lading, total price, gross weight and net weight within 48 hours after the shipment notification from the shipping line.
如賣方未按上述、款規定通知買方，以致買方未能及時購買保險，由此而產生的損失由賣方負擔。

12.違約（breaking the contract）：
若超過裝運期限賣方每天必須向買方支付貨物總價款的違約金。the sellers must pay the of the price of all the goods per day for breaking the contract of shipping time.
如果延期超過5天賣方須向買方支付貨物總價款5%的違約金。與此同時，買方保留是否繼續履行合同的決定權。
if the shipping time is defered for over 5 days, the sellers must pay 5% of the price of all the goods. at the same time, the buyers reserve the right to go on carrying out the promise or not.
13.仲裁（arbitration）：在履行協議過程中，如發生爭議，雙方應友好協商解決，若通過友好協商未能達成協議，則提交中國國際貿易促進委員會對外貿易仲裁委員會，根據該會仲裁程序暫行規定進行仲裁。若以方不符裁決，再則由新加坡國際仲裁法按照該會仲裁程序的有關規定進行仲裁。以上所有仲裁費用，除另有規定外，均由敗訴方負擔。all disputes arising from the execution of this agreement shall be settled through friendly consultations. in case no settlement can be reached, the case in dispute shall then be submitted to the foreign trad arbitration commission of the china council for the promotion of international trade for arbitration in accordance with its provisional rules of procedure. the decesion made by this commission shall be regarded as final and binding upon both parties. arbitration fees shall be borne by the losing party, unless otherwise awarded.

乙方經甲方批準在工作日加班，甲方必須支付給乙方基本工資150%的報酬;休息日被安排工作而甲方又不能夠給予乙方同等時間的補休，則甲方須支付給乙方基本工資200%的報酬;若在國家法定休假日被安排工作,甲方付給乙方基本工資300%的報酬。

乙方需嚴格保守工作過程中接觸和了解到的公司商業秘密(包括生產技巧、工藝流程、技術秘密、管理方法、產銷策略、貨源情報、設計圖紙、成本價格和客戶資料)，否則將受到行政處罰(如無條件解雇、賠償等);觸犯刑法的，甲方將有權移交司法機關處理。乙方調離甲方，應得到甲方同意，并將所有商業秘密資料移交甲方，同時承擔不向外泄露的義務，并保證半年內不得利用甲方商業秘密在生產同類且與甲方有競爭關系的產品的其他企業內任職。否則，甲方有權要求乙方賠償因此而帶來的一切經濟損失。
the recipient shall undertake the obligation to keep confidential, in accordance with the scope and duration agreed upon by both parties, the technical secrets contained in the technology provided by the supplier, which have not been made public.
1. 終止本合同條件 termination conditions
a. 試用期間，雙方皆可即時通知對方解除本合同;
during the probation period, either side can terminate the contract by immediate effect.
b. 試用期滿后，任何一方欲解除合同，須提前三十日以書面形式通知對方。否則，違約方須向守約方支付違約金(違約金為乙方一個月的工資)，若造成守約方經濟損失的，應依法承擔賠償責任。

3. 乙方在下列情況下終止本合同不需向甲方補償
if any one of the following circumstances, party b has the right of inform party a rescission of the contract without any compensation：
a. 被非法限制人身自由的手段強迫勞動的;
party b is forced to work by illegal means.
b. 未按本合同約定支付勞動報酬或勞動條件的;
party b cannot get the salary or working conditions which agreed in the contract.
